Sun Pharma Ranbaxy : Post Merger Integration}

Shares of Sun Pharma witnessed massive selling pressure, plunging over 16 percent after the drug major said it expects to take a hit on profit for the fiscal 2015-16 mainly due to integration process with Ranbaxy. The question which has been raised is as follows:

Whether the merger is positive for Sun original shareholders in the long run?

Whether the merger has resulted in an immediate gain to Ranbaxys original shareholders?

Whether it will be long sustainable for the stakeholders?

Whether SUN underestimated Regulatory overhangs?

The company has said that synergy benefits from the Ranbaxy acquisition will be increased by 15-20% as compared to their original target of $250 million by FY18. This will be achieved by focusing on overall profitability improvement driven by revenue and procurement synergies, manufacturing rationalisation and various additional cost-management measures as follows:

Four Indian factories of Ranbaxy are banned from supplying to the US and are undergoing consent decree. The company, which has already paid a fine of $500 million to US authorities in 2013 after pleading guilty of serious irregularities on the fringe of fraud, has again received a subpoena on its Toansa factory in Punjab. So they are urgently fixing manufacturing issues at Ranbaxys India plants to get the ban on export of medicines to the US removed. Sales outside India accounted for 77% of Ranbaxys revenue. The remedial actions at plants in Mohali, Dewas, Paonta Sahib and Toansa are on track. They are working towards the fulfilment of the requirements of the US consent decree and will try to expedite the resolution for at least one of these facilities.

To discontinue two or three non-strategic businesses and low margin business as a part of integration process with Ranbaxy. Exiting Ranbaxy’s “low-margin” overseas geographies and also evaluating divesting of anti-retroviral (ARV) business and active pharmaceutical ingredients (API) operations to fast-track growth. The API business with two plants at Toansa (Punjab) and Dewas (Punjab) which are impacted by the USFDA import ban is small valued around $40 million, while the ARV tender business centred around Africa may only continue till the obligation is met. Most of these businesses will be divested as closing them down means incurings expenses. Certain loss-making geographies like France have been a dampener on Ranbaxy’s sales for some years, while others like Australia estimated at $35 million are not sustainable, may prompt exit. All these may not happen at one go but will “take shape” over a period of time. Exiting the low-margin businesses may not result in a huge cash flow, but will improve the profitability of the company going forward. Sun will strengthen its consumer products business as it is a high-margin, high-growth sector.

Adhering to current global manufacturing practice (cGMP) norms for various manufacturing facilitates

The company plans to increase research and development investments on products, including MK-3222, the experimental psoriasis drug which the company bought the worldwide rights to from Merck and Co. last year.

Sun will expand Ranbaxys over-the-counter or OTC brands to more countries.

To bring on track Halol facility, Sun Pharma has been facing supply constraints due to a ban on its own Halol plant.

DILIP SANGHVI EARLIER TURNAROUND:

Most buyouts by Sun, on an acquisition spree since the late 90s, have worked well. The company buys distressed assets across the globe and turns them around to not only add to its books but also its product pipeline and regions.Since 1996, the company has done 16 major deals, including the buyouts of Caraco, Taro, DUSA Pharma and URL’s generic business. All these companies were facing trouble at the time of acquisition.Sun Pharma has a successful record of turning around distressed assets with recent cases such as Taro and URL

For instance, Caraco, initially acquired by Sun in 1997, suffered several regulatory issues with the US Food and Drug Administration (FDA). Caraco’s Michigan facilities in Detroit and Wixom were also raided by US marshals and production was stopped for alleged breach of manufacturing regulations. Cranbury facility in New Jersey also faced trouble with the US regulator. However, Sun kept increasing its stake in Caraco to turn it into a wholly owned subsidiary in 2011. In 2012, Sun also acquired URL’s generic business through Caraco, allowing it access to more products and plants. Caraco acquisition was gradual over a period of 12 years and in the process, Sun Management gained valuable experiences of dealing with US FDA. But it seems SUN underestimated problems in case of this latest acquisition both in terms of cost of compliance and time it will take

Sun’s acquisition of Israel-based Taro Pharmaceutical Industries in 2010 was a similar story. The deal was made in anticipation that Taro, with a significant share of the US generic market, would contribute to revenue immediately. However, because of long delays in concluding the deal, Sun’s US business suffered. Taro, now a Sun subsidiary, started contributing significantly to Sun’s revenue since 2012. So this acquisition also it took longer than what was anticipated due to legal issues

CONCLUSION:

Mr. Dilip Sanghvi is known for turnaround of acquired company among his peers.He is most open to using mergers and acquisitions (M&A) to grow faster, but he has always been conscious of Sun Pharma’s bite size and the price of the acquired asset. The financial conservatism is visible in the Ranbaxy acquisition as well. The all-stock deal will double Sun Pharma’s revenues at a cost of eight per cent dilution in equity and earning per share. The deal has reaped the benefit in the market price also as Sun pharma market price after the date of announcement of merger with Ranbaxy till the record the date of merger has touch a new high to INR 1200 per share i.e. gains of almost 100%. But fall from the highest peak and also after announcement of hit on profit for F Y 2015-16 has eroded the gains which was seen as being due to the merger for the shareholders of Sun pharma. Now the market price is trading at the normal return of sun pharma which has given in the last two previous years. So as on date, the Ranbaxy shareholders have benefited due to the merger transaction. But all the stakeholders will gain in the long term as it was proved in all earlier acquisition, when the synergies benefit start reaping to the Sun Pharma due to its turnaround strategy.

Aung San Suu Kyi, the detained leader of the National League for Democracy in Myanmar marked her 62nd birthday today, still under house arrest, where she has spent most of the past 17 years.

About 250 supporters met at the National League for Democracy (NLD) headquarters in Yangon, not far from Suu Kyi’s home, and held a rally calling for her release. Doves and balloons were released into the air, under the watchful eyes and video cameras of around 50 plainclothes police officers, who were stationed across the street.

The police force was augmented by a dozen truckloads of members of the Union Solidarity and Development Association, the political arm of the State Peace and Development, the junta that rules Myanmar.

“The doves symbolise peace. We also released colourful balloons, which rise like her prestige when they fill the sky,” NLD women’s wing leader Lai Lai was quoted as saying by Agence France Presse.

With the party marking marking Suu Kyi’s birthday as “Myanmar Women’s Day,” Lei Lei read out a statement at the ceremony, calling Suu Kyi “irreplaceable” and praising her “honesty, bravery and perseverance.”

Security was beefed up around Suu Kyi’s lakeside home on University Avenue, which is usually open to traffic during daytime, but is closed on significant anniversaries such as Suu Kyi’s birthday or the May 30 anniversary of her detention.

NLD supporters said police were also watching their homes.

“Plainclothes police circled around my house on their motorcycles last night until dawn,” Su Su Nway, 34, was quoted as saying by Agence France-Presse. She was arrested on May 15 with 60 others during a prayer rally for Suu Kyi in Yangon, and was released for health reasons on June 7. She said around 52 NLD supporters were still in custody.

Suu Kyi is generally barred from receiving visitors, so she spent the day alone. Except for her maid, a personal physician, a dentist and an eye specialist, the only other person to visit with Suu Kyi in the past year was United Nations Undersecretary-General for Political Affairs Ibrahim Gambari, whom she met for one hour last November at a government guest house.

Winner of the 1991 Nobel Peace Prize, Suu Kyi has been under house arrest for 11 of the past 17 years, continuously since 2003. Her National League for Democracy won a landslide election in 1990, but the military, which has ruled Myanmar since 1962, refused to honor the results. The country is also known as Burma, but the military government renamed it Myanmar in 1989.

Calls for Suu Kyi’s release have been issued by the NLD, various world bodies and other countries, but the pleadings have been met by no response from the generals.

“In our view, until their constitution is ratified, she will not be released,” Sann Aung, a Bangkok-based leader of the Burmese government-in-exile was quoted as saying by Reuters.

“They are worried that she will be a threat to the National Convention and the referendum,” he told Reuters, referring to the planned national referendum on a new constitution that is being written by the generals.

The Nation newspaper in Bangkok marked Suu Kyi’s birthday with an editorial, saying that sanctions against the Myanmar regime have been ineffective.

“The junta has earned huge amounts of foreign revenue from oil and gas exports, with prices jacked up many times over. With rich mineral resources, energy hungry countries have been attracted to Burma despite the repressive nature of the junta,” the editorial said, also making note of a recent deal that Russia has made to build nuclear reactor in Myanmar.

The paper also said Myanmar bodes ill for the 10-member Association of Southeast Asian Nations regional grouping.

“As long as Aung San Suu Kyi remains incarcerated, ASEAN’s reputation and the group’s international standing will be tarnished. Asean leaders have repeatedly appealed to the Burmese junta to free her, but to no avail … today, Burma is the black sheep of ASEAN. Without any current provisions for sanctions, Burma will remain as intransigent in the future as it is today.”

Contaminated pet food causes massive recall

At least 10 pets, 9 cats and 1 dog have died as a result of eating contaminated pet food, says the United States Food and Drug Administration, or FDA. The contamination caused cats and dogs to both go into kidney failure.

At least 51 brands of cat food and 40 brands of dog food have been recalled. The manufacturer of the food is Menu Foods, which is based in Mississauga, Ontario in Canada. The brands include: Iams, Nutro, and Eukanuba pet foods. Nestle, Purina PetCare Co., Procter & Gamble and Hill’s Pet Nutrition Inc. are voluntarily recalling their pet foods as a precaution. The FDA says that only wet food has been reported to have caused the deaths. The food was sold between December of 2006 and March 3 of 2007. The recall includes pouches and cans of wet food that total over 60 million.

“We are still trying to find out what the true picture is out there of animals. We’re talking about 1 percent of the pet food [supply] and it’s really just impossible to extrapolate at this point,” reported the FDA’s head veterinarian, Stephen F. Sundlof.

The manufacturer is currently performing tests to determine what might have caused the contamination, but so far, the source has not been identified.

“We’re testing and testing, but we can’t identify the problem in the product,” said Sarah Tuite, a spokeswoman for Menu Foods.

Anywhere from 40 to 50 cats and dogs were fed the contaminated food during testing by Menu Foods, and at least seven of those animals died. The species or how many cats or dogs died during testing is not known.

The FDA says that the possible cause of the contamination could be from heavy metals, lead or fungi inside wheat gluten which is used in pet foods as a “filler.”

A complete list of the products recalled can be found here: Menu Foods Recall List. Pet owners are urged to stop using any and all food on that list that may still be in their home. Owners are also asked to seek immediate veterinarian attention if the pets are suspected of eating the food.

The recall could cost over 30 million USD.

The unmanned Progress M-06M spacecraft, which failed to dock with the International Space Station a few days ago, succeeded in a second attempt Sunday. Russian officials said that today’s docking went flawlessly and exactly as planned, save for the fact that the docking occurred two days behind schedule.

NASA officials made clear that in the event of a total failure of the cargo ship, the orbital outpost’s crew would have had enough surplus supplies to utilize until October or possibly November. By that time, a space shuttle and another Progress spacecraft would have arrived at the station to deliver supplies.

According to NASA, Friday’s abort was most likely due to the faulty activation of a TV transmitter, which led to loss of telemetry and the initiation of an abort sequence. This, in turn, caused the spacecraft to fly past the station. The station’s crew, however, were never in any danger, as the craft bypassed the outpost at a safe distance. The spacecraft, which was launched last week, delivered food, water, oxygen, and other utilities to the orbiting American-Russian crew.

Yesterday, French capital football club Paris Saint-Germain triggered a €222 million (about US$263m, £198m) buyout clause of Brazilian winger Neymar to sign him from FC Barcelona, making him the most expensive footballer of all time by breaking the previous fee record of Paul Pogba’s transfer from Juventus FC to Manchester United. Neymar signed a five year contract with Paris SG which runs until June 2022.

25-year-old Neymar made his professional debut for Santos FC in January 2009, netting 138 goals in 229 matches. He was signed by FC Barcelona in 2013. Since then, Neymar has scored 105 goals and provided 80 assists in 186 games for Barça. In four seasons at Camp Nou, Neymar won two LaLiga titles, three Copa del Rey trophies, and one each of Champions League trophy Supercopa de España. Neymar was part of Barcelona’s treble winning squad in 2014–15, and finished third in 2015’s FIFA Ballon d’Or. Neymar made an international debut at the age of eighteen. He has scored 52 goals in 77 games for Brazil.

Paris SG’s Qatari president Nasser Al-Khelaifi said, “Today, with the arrival of Neymar Jr, I am convinced that we will come even closer, with the support of our faithful fans, to realizing our greatest dreams”.

After penning a five-year contract, Neymar said, “I am extremely happy to join Paris Saint-Germain. Since I arrived in Europe, the club has always been one of the most competitive and most ambitious. And the biggest challenge, what most motivated me to join my new teammates, is to help the club to conquer the titles that their fans want.”

Neymar’s lawyer submitted a check of €222m to deposit Neymar’s buy-out clause at LaLiga’s headquarters, but it was rejected. LaLiga officials issued an official statement, which read, “We can confirm that the player’s lawyers came to the La Liga offices this morning to deposit the clause and that it has been rejected.[…] That’s all the information we are giving out at this moment.”

Later, Neymar’s legal representative delivered the check to FC Barcelona. A statement from Barcelona confirmed they received the payment and Neymar was no longer contracted to the club. Manchester United’s manager José Mourinho, who spent about €105 million last season to sign Paul Pogba, and a reported fee of €75 million to sign Belgian striker Romelu Lukaku from Everton FC this season, said, “Expensive are the ones who get into a certain level without a certain quality. For £200m, I don’t think [Neymar] is expensive. […] I think he’s expensive in the fact that now you are going to have more players at £100m, you are going have more players at £80m and more players at £60m. And I think that’s the problem. […] So I think the problem is not Neymar, I think the problem is the consequences of Neymar.”

Liverpool manager Jürgen Klopp said, “I thought Fair Play was made so that situations like that can’t happen. That’s more of a suggestion than a real rule.”

French club Lille director general Marc Ingla, who had once served as Barça’s vice-president said, “It’s a blow for Barcelona. Neymar is an accelerator to this bright future of Ligue 1. The young talent pool we have here is the best in Europe. For sure we can still compete with PSG. Once you get on the pitch it’s 11 v 11 and all the transfer fees and salaries narrow a bit.”

Before the official announcement of the agreement, yesterday, Arsenal’s manager Arsène Wenger also remarked about the financial fair play and said, “Once a country owns a club, everything is possible. It becomes very difficult to respect the financial fair play because you can have different ways or different interests for a country to have such a big player to represent [that] country. It can’t justify the investments and looks unusual for the game. That’s why I always [support] football living with its own resources. You don’t look at the numbers in their absolute value anymore. Football has been for a long time out of normal society and the numbers are like the NBA in basketball, so it’s not comparable to normal life anymore. Those are the numbers. It was already out of context of society, so after it just becomes a bit extra. You cannot calculate what it brings in anymore, it’s just a number.”

2020 Melbourne Lord Mayor candidate Wayne Tseng answered some questions about his campaign for the upcoming election from Wikinews. The Lord Mayor election in the Australian city is scheduled to take place this week.

Tseng runs a firm called eTranslate, which helps software developers to make the software available to the users. In the candidate’s questionnaire, Tseng said eTranslate had led to him working with all three tiers of the government. He previously belonged to the Australian Liberal Party, but has left since then, to run for mayorship as an independent candidate.

Tseng is of Chinese descent, having moved to Australia with his parents from Vietnam. Graduated in Brisbane, Tseng received his PhD in Melbourne and has been living in the city, he told Wikinews. Tseng also formed Chinese Precinct Chamber of Commerce, an organisation responsible for many “community bond building initiatives”, the Lord Mayor candidate told Wikinews.

Tseng discussed his plans for leading Melbourne, recovering from COVID-19, and “Democracy 2.0” to ensure concerns of minorities in the city were also heard. Tseng also focused on the importance of the multi-culture aspect and talked about making Melbourne the capital of the aboriginals. Tseng also explained why he thinks Melbourne is poised to be a world city by 2030.

Tseng’s deputy Lord Mayor candidate Gricol Yang is a Commercial Banker and works for ANZ Banking Group.

Currently, Sally Capp is the Lord Mayor of Melbourne, the Victorian capital. Capp was elected as an interim Lord Mayor in mid-2018 after the former Lord Mayor Robert Doyle resigned from his position after sexual assault allegations. Doyle served as the Lord Mayor of Melbourne for almost a decade since 2008.
